hello,

i have SQL Server 2005 32 bit edition running on windows 2003 32 bit edition.

i want to upgrade it on SQL server 2008 on 64 bit on windows 2008 R2 64 bit.

kindly guide me steps for this upgrade process.

Not sure on the sharepoint part.But first thing would be to take set single user and take a full backup's of all the user databases including the system databases.Then uninstall the existing 32 bit and install the same version instance of the 64 bit.

Is downtime acceptable ?
