I mistakenly installed 32 bit SQL 2005 on a new server. Its a development server and i don't want to lose the stored procs and databases that are on the server, but i must upgrade to 64 bit. Is this as simple as putting in the disks??

No as the bits are different. Backup your databases, reinstall SQL, and then restore your databases.
